1. Who we are

This website is operated by REGALE DELIZIA PRIVATE LIMITED, trading as dhi Hospitality ("dhi", "we", "us", "our"), a private limited company incorporated in India on 28 October 2021 under the Companies Act, 2013.

In these terms, pulse. (styled in lower case with a full stop as part of the mark, and written here as "pulse.") means the commercial decision software developed by dhi Hospitality. ICS means the Integrated Commercial System architecture on which pulse. is built. Site means the website at pulse.dhihospitality.com and any of its pages.

2. Agreement to these terms

By accessing or using the Site you agree to these terms. If you do not agree, do not use the Site.

We may update these terms at any time. The version published on this page is the version that applies. Continued use of the Site after a change means you accept the updated terms. Where a change is material we will update the "Last updated" date above.

3. What this Site is, and what it is not

The Site is an informational website. It describes pulse., publishes related material, and allows you to register interest in early access.

The Site is not:

• an offer to sell or licence pulse. or any other product
• a contract for the supply of software or services
• access to the pulse. application, which is hosted separately at app.dhihospitality.com
• professional advice on revenue management, pricing, distribution, marketing, accounting, tax, or law

Access to and use of pulse. is governed exclusively by a separate written agreement signed between dhi and the customer entity. Nothing on this Site, and nothing in these terms, creates any right to use pulse., varies the terms of any signed agreement, or amounts to a representation that any signed agreement will be offered to you.

Where these terms conflict with a separate written agreement covering the supply of pulse., that separate agreement prevails in respect of the product.

4. Who may use the Site

You may use the Site only if:

• you are at least 18 years of age
• you are acting in the course of a business, trade, or profession, and not as a consumer
• where you act on behalf of an organisation, you have authority to accept these terms for that organisation
• you are not resident in, or accessing the Site from, a country subject to sanctions or trade restrictions that would prohibit dhi from dealing with you

The Site is directed at hotel operators, hotel owners, management companies, and their advisers. It is not directed at consumers or the general public.

5. Early access registration

The Site allows you to submit your details to register interest in early access to pulse.

By submitting a registration you acknowledge that:

• registration creates no obligation on dhi to grant access, at any time or on any terms
• dhi may accept, decline, defer, or withdraw a registration at its discretion, without giving reasons
• any indication of timing, sequence, or availability is an estimate and not a commitment
• any pricing shown on the Site or communicated in relation to early access is indicative, is subject to change, and becomes binding only when set out in a signed agreement
• dhi may contact you about pulse. in accordance with the Privacy Policy

You agree that the information you submit is accurate, that you are entitled to submit it, and that any work email address you provide is one you are authorised to use.

6. Statements about future functionality

The Site describes pulse. as it exists and, in places, as it is planned to develop. Any statement about planned features, releases, integrations, timing, methodology, or performance is forward looking. It reflects current intent, not a commitment, warranty, or contractual term.

Product scope, sequencing, and release dates may change without notice. Statements about analytical outputs, recommendations, or margin outcomes describe intended design and are subject to validation. Where a capability depends on data that has not yet been observed, the Site or accompanying material will indicate this, and you should not treat such a capability as available.

Do not rely on forward-looking statements when making commercial, procurement, investment, or budget decisions.

7. Acceptable use

You must not:

• use the Site for any unlawful purpose, or in breach of any applicable law or regulation
• access, scrape, crawl, index, harvest, or extract Site content by automated means, except by a search engine crawler obeying our robots directives
• attempt to gain unauthorised access to the Site, its hosting environment, its databases, or any connected system
• interfere with the availability, integrity, or performance of the Site, including by denial of service, load testing, or injection of code
• probe, scan, or test the vulnerability of the Site or circumvent any security or authentication measure, unless we have given written permission in advance
• submit false, misleading, or impersonating information, including through the early access form
• copy, reproduce, republish, frame, or redistribute Site content other than as permitted in clause 8
• reverse engineer, decompile, or attempt to derive the structure, methodology, or source code underlying pulse. or ICS from material published on the Site
• use the Site or its content to build, train, benchmark, or market a competing product, or to develop a derivative dataset or model, without our prior written consent
• use any dhi or pulse. mark in a way likely to cause confusion as to source, sponsorship, or endorsement

We may suspend or withdraw your access to the Site at any time, without notice, where we reasonably consider that you have breached this clause.

8. Intellectual property

All content on the Site, including text, copy, graphics, diagrams, screenshots, page layouts, product descriptions, methodology descriptions, code, and design elements, is owned by dhi or licensed to dhi, and is protected by copyright and other intellectual property rights.

"pulse." is a registered trade mark of dhi in India in Class 42. The marks "dhi", "dhi Hospitality", "ICS", "Integrated Commercial System", and associated logos and wordmarks are trade marks of dhi, whether registered or unregistered. No licence to use any of them is granted by these terms or by your use of the Site.

You may view Site pages, and print or download individual pages, for your own internal business evaluation. You may quote short extracts with clear attribution to dhi Hospitality and a link to the source page. All other use requires our prior written consent.

If you send us feedback, suggestions, or ideas about pulse. or the Site, you grant dhi a perpetual, irrevocable, worldwide, royalty free licence to use them for any purpose, without obligation or attribution to you. Do not send us anything you consider confidential or proprietary unless we have signed a confidentiality agreement covering it.

9. Third-party names and marks

The Site may refer to third-party systems, providers, and standards, and may display third-party names or logos, for the purpose of identifying interoperability or describing the market context.

Those names and marks belong to their respective owners. Their appearance on the Site does not imply any partnership, certification, sponsorship, affiliation, or endorsement, in either direction, unless the Site expressly states otherwise.

10. Links to other websites

The Site may link to third-party websites. We do not control them, do not endorse them, and are not responsible for their content, availability, security, or data practices. Following an external link is at your own risk and subject to that website's own terms and privacy policy.

11. Demonstrations, previews, and shared material

Where we give you access to a demonstration environment, private preview, recorded walkthrough, or non-public document, the following applies in addition to these terms:

• the material is confidential and is provided for your internal evaluation only
• you must not record, reproduce, publish, or disclose it to any third party without our prior written consent
• demonstration data is illustrative, may be synthetic, and does not represent the results of any identified property
• access may be withdrawn at any time

Where a separate non-disclosure agreement is in place between us, that agreement governs and this clause supplements it.

12. No warranty

The Site and its content are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, we make no warranty, express or implied, that:

• the Site will be available uninterrupted, secure, or error free
• Site content is accurate, complete, current, or fit for any particular purpose
• any result, output, saving, or margin improvement described on the Site will be achieved in your business

Descriptions of analytical methodology are summaries prepared for a general audience. They are not specifications and should not be relied on as such.

13. Limitation of liability

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to the paragraph above, and to the fullest extent permitted by law:

• we are not liable for any loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity, loss of goodwill, loss or corruption of data, business interruption, or any indirect or consequential loss, however arising
• our total aggregate liability arising out of or in connection with the Site and these terms is limited to INR 10,000 (ten thousand Indian Rupees)

The Site is provided without charge. The cap above reflects that. Liability arising under a separate signed agreement for the supply of pulse. is governed by that agreement and is not affected by this clause.

14. Indemnity

You agree to indemnify dhi against any claim, loss, liability, or reasonable cost (including legal fees) arising from your breach of clause 7 (Acceptable use), clause 8 (Intellectual property), or clause 11 (Demonstrations, previews, and shared material).

15. Privacy and data protection

Our handling of personal data collected through the Site is described in the Privacy Policy, which forms part of these terms.

Personal data processed inside the pulse. application on behalf of a hotel customer is governed by the customer's signed agreement and its data protection annex, not by these Site terms. In that context dhi acts as a data processor on the customer's documented instructions.

16. Suspension and changes to the Site

We may change, suspend, restrict, or discontinue the Site or any part of it at any time, without notice and without liability. We do not guarantee that any content will remain available.

17. General

No partnership. Nothing in these terms creates a partnership, joint venture, agency, or employment relationship between us.

Assignment. You may not assign or transfer your rights under these terms. We may assign ours to an affiliate, or in connection with a merger, acquisition, or transfer of assets.

Severance. If any provision is found unenforceable, the remaining provisions continue in force and the unenforceable provision is to be read down to the minimum extent necessary.

No waiver. A failure or delay in enforcing any provision is not a waiver of it.

Entire agreement. These terms, together with the Privacy Policy, constitute the entire agreement between us in relation to the Site.

Third parties. These terms do not confer rights on anyone who is not a party to them.

18. Governing law and jurisdiction

These terms and any dispute arising out of or in connection with them or the Site are governed by the laws of India.

The courts at Chennai, Tamil Nadu, India have exclusive jurisdiction, and you and dhi submit to that jurisdiction. This does not affect any mandatory right you may have to bring proceedings in your country of residence where local law requires it.
